This engagement agreement ("Agreement") is made and entered into between Optimized, LLC, a limited liability company, and the undersigned member (referred to as "Member") for the purpose of providing education and support for residential assisted living operators.

LIMITED AVAILABILITY: The services offered by Optimized are only available to a limited number of qualified nurses. The Member agrees not to sign this Service Agreement unless they have been approved by Optimized as a qualified candidate for our services.

MEMBERSHIP FEE: The membership fee for participation in the Optimized program is $10,000, payable in a lump sum or via an agreed-upon payment plan. The fee is non-refundable.

NO GUARANTEE: Optimized cannot guarantee the success of the Member's residential assisted living business, nor can we guarantee licensing or financing.

CONFIDENTIALITY: The Member agrees not to share any materials provided to them by Optimized, including but not limited to workbooks, educational materials, or any other documents they receive. The Member also agrees not to resell any materials provided to them by Optimized. In the event of a breach of this provision, Optimized is entitled to seek compensation.

LIABILITY: The Member acknowledges that they will not sue Optimized or its affiliates for any reason related to their participation in the program.

MEMBERSHIP BENEFITS: Membership benefits include education and training on residential assisted living, participation in a flagship excursion to tour and learn from existing RAL properties, asset acquisition consulting, hands-on training, one-on-one phone call/zoom access, and access to our affiliate partner network. The scope of benefits may be expanded over time to provide additional value for Members.

PAYMENT PLAN: If the Member selects the payment plan option, they agree to make all payments on time and in full. If any payment is not received within 30 days of the due date, Optimized reserves the right to suspend or terminate membership without refund.

TERM: This Agreement shall remain in effect until terminated by either party. Optimized may terminate this Agreement if the Member breaches any provision of this Agreement.

ASSIGNMENT: The Member may not assign this Agreement or any of their rights or obligations hereunder without the prior written consent of Optimized.

ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to the same subject matter.

GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the state of Utah.

COUNTERPARTS: This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
